Terms of Service
Version 0.2. Last updated: 4 November 2026.
These terms, together with the Acceptable Use and Data Sources Notice in Schedule 1 below, form the contract between you and us for ROE Overdue Watch. Please read them before you create an account, buy credits or a monitoring plan, or use the Service.
1. Who we are
ROE Overdue Watch (the "Service") is provided by AIBI LTD, a company registered in England and Wales with company number 16142632, registered office 80 Osborne Road, London, England, W3 8SR ("we", "us", "our"). Contact: hello@aibisolutions.co.uk. We are not affiliated with, or endorsed by, Companies House or HM Land Registry.
2. Business customers only
The Service is for businesses and professionals acting in the course of their trade, business or profession, such as conveyancers, lenders, property professionals and company service providers. By using it you confirm that you are not acting as a consumer and that you are authorised to accept these terms for your organisation ("you"). If you are not acting for a business, please do not buy. Section 8 explains what applies if a consumer buys despite this.
3. What the Service does
You give us overseas entity IDs or other Companies House numbers. We read the Companies House public register, including the Register of Overseas Entities, through the official Companies House public data API and report the entity's status, its annual update statement position (due date, days overdue or days until due, and whether any update has been filed), counts and flags about its registrable beneficial owners, and its filing history. With a monitoring plan we re-check the entities you list about once a day and store alerts when the register changes. We do not file anything at Companies House or HM Land Registry, we do not verify anyone's identity, we do not carry out sanctions screening, and we do not contact the entities you check or their owners.
4. Where the data comes from
All register information in the Service comes from the Companies House public register, read through the Companies House public data API. It contains public sector information licensed under the Open Government Licence v3.0. Risk bands, signals, day counts and summaries are our own automated reading of that data. Schedule 1 explains our data sources and the limits on reuse in more detail.
5. Information only, not legal advice
Results are generated automatically from the register information retrieved for the check. Some information may come from a short-lived cache; the result shows the available source dates. The register can be incomplete, wrong or slow to update, and a statement filed very recently may not yet appear. Companies House does not publish warning or penalty notices, so the Service cannot confirm whether one has been issued. Statements in the Service about the effect of an overdue update statement summarise published Companies House guidance and may not reflect the latest guidance or the facts of your matter. Results are information only and are not legal advice. You remain responsible for deciding what to do in any transaction, and for checking the position against Companies House and HM Land Registry guidance or with your own adviser. Results do not replace any check that HM Land Registry, a lender, an insurer or a regulator requires.
6. Prices and payment
Prices are shown on the site at the time of purchase, and the price shown when you pay is the price that applies. Current prices:
- Full check: £5 per entity. Packs: 10 checks £40; 50 checks £150; 250 checks £500.
- Monitoring up to 25 entities: £29 per 30 days.
- Monitoring up to 100 entities: £99 per 30 days.
- Monitoring up to 1,000 entities: £299 per 30 days.
- Free lookup: a basic status and update statement verdict for one entity, up to 10 a day, free of charge.
AIBI LTD is not registered for VAT, so no VAT is charged. Payment is taken in pounds sterling by our payment provider, Revolut, through a Revolut hosted checkout or a Revolut payment link that we send you. We never see or store your full card details. Credits or a monitoring plan are added to your account once the payment provider confirms the payment.
7. Credits, monitoring plans and refunds
- Credits. A full check uses one prepaid credit per unique entity, whether run singly or in a batch file of up to 2,000 entities. Unused credits expire after 24 calendar months of account inactivity. Activity means deliberately opening your account, starting a credit-using request that we accept for processing, successfully managing your monitoring, or starting a purchase request that we accept. A request accepted for processing counts as activity even if it later fails and its credits are returned. Automatic monitoring, page refreshes, balance or payment-status polling, and the later processing of payments or refunds do not count. Expiry is applied before new activity, so later activity does not restore expired credits. Credit expiry does not close your account. Credits from a payment or refund received after your previous credits expired are preserved for your next deliberate account access or accepted use. Their 24-month inactivity period starts when you next access or use the account in that way. They do not restore credits that have already expired. Credits have no cash value and cannot be transferred to another account.
- Automatic returns. A credit is returned to your balance automatically if the entity is not found, the number is invalid, or the register cannot be read at the time of the check.
- Monitoring plans. Each purchase buys a separate 30-day monitoring period at the selected entity limit. It does not renew automatically. If you have no remaining paid period, it starts when the purchase is added to your account. Otherwise it starts after your last paid period ends, including when you buy a higher or lower limit. Buying another period does not change the capacity or end date of an existing period. If your list exceeds the limit when a lower-capacity period starts, monitoring pauses until you remove enough entities. You can still view, export and remove entities. The paid period continues to run while monitoring is paused.
- Free lookups. Free lookups are limited per connection per day and we may change or withdraw the free allowance at any time.
- Refunds. We will refund a credit pack in full if you ask within 14 days of purchase and have not used any of the credits from it, and a monitoring plan in full if you ask within 14 days of payment and have not added any entities to it. We will also refund a duplicate payment, or a payment for something we did not supply because of a fault on our side. If we stop providing the Service, we will refund unused credits and unused monitoring time pro rata. Otherwise, used or part-used credits and monitoring time are not refundable for cash, except where the law requires. Refunds are made to the original payment method. For this purpose, an existing entity list counts as added to a monitoring period when that period starts. Monitoring under an earlier period does not use a queued period.
8. If you are a consumer
The Service is offered to business customers only. If you nevertheless buy as a consumer, your statutory rights, including under the Consumer Rights Act 2015, are not affected. Nothing in section 15 limits liability that cannot lawfully be limited for consumers. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you normally have 14 days after entering the contract to cancel. To cancel, contact hello@aibisolutions.co.uk with your payment reference. The refund provisions in section 7 also apply.
9. Your account and account key
Your account is identified by an account key. Your browser saves the key for later visits only if you choose to remember it. Keep it secure and share it only with people in your organisation. You are responsible for all use made with your key. Tell us straight away at hello@aibisolutions.co.uk if you think it has been lost or misused. We may revoke or replace a key that we reasonably believe has been compromised or misused.
10. Alerts
Monitoring changes are available in your account and exports. We do not send monitoring alerts by email. Check the last successful check shown for an entity; a failed refresh does not make an earlier result current. Monitoring checks run about once a day, and beneficial owner and filing history details are re-read weekly or when the record changes, so a change on the register may take a day or more to be detected.
11. Your data and our processing terms
Our Privacy Notice explains how we handle personal data. You must have the right to give us the lists you upload. When we process the lists you give us and the results produced from them on your behalf, we act as your processor and you are the controller, and these processing terms apply:
- we process that data only to provide the Service and on your documented instructions, which are these terms and your use of the Service, unless the law requires otherwise (in which case we will tell you unless the law prevents it);
- we keep it confidential and ensure that anyone we authorise to process it is under a duty of confidentiality;
- we use appropriate technical and organisational security measures;
- we use sub-processors only as listed in the Privacy Notice, on written terms that give equivalent protection, and we will tell you before adding or replacing one so that you can object; we remain responsible for them;
- we will help you, as reasonably required, to respond to data subject requests, to meet your security, breach notification and impact assessment duties, and we will tell you without undue delay after becoming aware of a personal data breach affecting your data;
- we only transfer the data outside the UK with a transfer safeguard recognised under UK data protection law;
- we keep completed single-check results for 30 days after completion and batch reports until 30 days after creation, with separate retention for unresolved processing or credit-return claims. Monitoring lists and alerts follow the periods in the Privacy Notice, and at the end of the Service we delete or return your data at your choice unless the law requires us to keep it; and
- we will provide the information reasonably needed to show compliance with these terms and allow reasonable audits on reasonable notice, at your cost.
Where we read public register data to run the Service and hold your account and payment records, we act as a controller in our own right, as explained in the Privacy Notice.
Completed single-check results can be retrieved from your account for 30 days after completion. Batch reports can be downloaded until 30 days after the batch was created. Keep your own copy of anything you need. Retrieving a saved result does not run a new check; submitting the check again is a new request and may use credits. Check references, status, dates and credit accounting may remain after the result contents or report files are deleted.
12. Acceptable use
You must follow the Acceptable Use and Data Sources Notice in Schedule 1. It forms part of these terms.
13. Intellectual property and use of results
We own the Service, its software, design and our own analysis text. You may use results within your organisation and share them with your clients, counterparties, lenders and advisers in connection with a matter or transaction you are working on. You may not resell, sublicense or republish results as a data product or feed. Register data itself remains available under the Open Government Licence v3.0, subject to the limits on personal data explained in Schedule 1.
14. Availability and changes to the Service
We aim to keep the Service available but do not guarantee uninterrupted or error-free access. Processing time depends on the size of your list and on Companies House rate limits and availability. We may change, improve or withdraw features. If we make a change that materially reduces what you have paid for, we will tell you and you may ask for a pro rata refund of the affected unused credits or monitoring time.
15. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded. Subject to that:
- we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, for loss or corruption of data, for any failed, delayed or abortive transaction, or for any indirect or consequential loss;
- we are not liable for errors, omissions or delays in the public register, or for any decision you make on the basis of a result;
- our total liability arising out of or in connection with the Service in any 12 month period, whether in contract, tort (including negligence) or otherwise, is limited to the amount you paid us in that period; and
- the Service is provided on an "as is" basis and, to the extent the law allows, we exclude all implied terms and warranties, including as to the completeness, accuracy or timeliness of public register data.
16. Suspension and termination
We may suspend or close your account if you breach these terms, if we reasonably suspect fraud or misuse, or if we are required to by law. If we close your account without cause, we will refund unused credits and unused monitoring time pro rata. You may stop using the Service at any time and ask us to close your account by emailing hello@aibisolutions.co.uk. Sections 5, 13, 15 and 18 to 19 continue after the contract ends.
17. Changes to these terms
We may update these terms by posting a new version on this page with a new date. The version in force when you buy applies to that purchase. If a change materially affects credits or a plan you have already paid for, we will tell you by email where we have your address.
18. General
These terms are the whole agreement between you and us about the Service and replace any earlier arrangement on the same subject. Each of us confirms that it has not relied on any statement not set out in these terms. We are not liable for delay or failure caused by events beyond our reasonable control, including outages of the Companies House API. You may not transfer your rights under these terms without our consent; we may transfer ours to a successor business that continues the Service. If any part of these terms is found unenforceable, the rest remains in force. No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999. Notices may be given by email: to us at hello@aibisolutions.co.uk and to you at the email address you gave us.
Complaints. If you are unhappy with the Service, please email us first at hello@aibisolutions.co.uk so we can try to put things right. Complaints about how we use personal data are handled as set out in the Complaints section of our Privacy Notice, which also explains your right to complain to the Information Commission (still known as the ICO).
19. Law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Schedule 1: Acceptable Use and Data Sources Notice
A. Data sources
- Companies House public register only. The Service reads overseas entity and company records from the Companies House public data API: entity profile and status, annual update statement dates, registrable beneficial owner records and filing history. We do not use paid data, scraped websites, HM Land Registry data or any other source, and we do not add information about people from elsewhere.
- What we keep about beneficial owners. To count and flag registrable beneficial owners we read their published records, but we keep and show only counts and flags (for example how many are active or ceased, whether any is flagged as sanctioned, and whether identity verification details are shown). We do not store or show their names, dates of birth, nationalities or addresses.
- Attribution. Contains public sector information licensed under the Open Government Licence v3.0. Companies House does not endorse the Service or our analysis. Where we derive information (risk bands, day counts, summaries and plain-English signals), that is our analysis and not Companies House data.
- Personal data is not covered by the Open Government Licence. Anyone reusing personal data from the register, including you and us, must do so in line with UK data protection law.
- Accuracy. The register contains information filed by others. Companies House does not check all of it and it may be incomplete, wrong or out of date. Results show the register as it stood at the time of the check. Results are not legal advice.
B. Acceptable use
You must use the Service and its results lawfully, including under UK data protection, sanctions and anti-money laundering law, and only for legitimate purposes connected with your business, such as checking an overseas entity's position before or during a property transaction, lending or professional engagement. You must not:
- use the Service or results to identify, locate, track, profile, harass or contact individuals connected with an entity, or for any purpose unrelated to dealing with that entity;
- treat results as sanctions screening, identity verification or anti-money laundering due diligence, or as the only basis for a decision with legal or similarly significant effects on an individual;
- resell, sublicense or republish results as a data product, feed or database, or use them to build a competing dataset;
- upload anything other than entity or company numbers and the references you need to identify your own records, and in particular no special category or criminal offence data;
- attempt to access another customer's account or data, probe or bypass security, rate limits or free allowances (including by rotating connections), overload the Service, or scrape, copy or reverse engineer it;
- share your account key outside your organisation or let others use the Service through your account as a service of their own; or
- present results as coming from Companies House or HM Land Registry, or as legal advice.
We may suspend access, without refund of credits used in breach, if we reasonably believe these rules have been broken. To report misuse or an inaccurate result, email hello@aibisolutions.co.uk.
